Terms for using BidAxis.

These Terms of Service ("Terms") govern access to and use of the BidAxis platform and related services (the "Service"). In these Terms, "BidAxis", "we", "us", and "our" mean [INSERT LEGAL ENTITY NAME]. "Customer" means the business, consultancy, agency, or other organisation that purchases or uses the Service, and "User" means an individual authorised by that Customer to use the account.

The Service is intended for business use. Most customers use BidAxis in a professional or commercial capacity, not as consumers. That means consumer protection rules that apply only to consumers may not apply to the agreement to the same extent. If you are using the Service personally and not mainly for business purposes, you should not assume these Terms fully describe any mandatory rights you may have under consumer law.

BidAxis is subscription software for opportunity qualification, tender and bid workflow management, knowledge-base storage, draft response generation, bid review, compliance support, prediction support, export preparation, and related win-intelligence workflows.

The Service is designed to help users work faster and make better informed decisions. It does not promise that any tender will be won, that any compliance issue will be caught, or that any score, recommendation, or prediction will be correct.

AI-generated drafts, compliance scoring, review comments, and win-probability style outputs are advisory tools only. They are not legal advice, procurement advice, regulated professional advice, or a guarantee of any commercial outcome.

Users must provide accurate registration information and keep it up to date. The Customer is responsible for making sure only authorised people are given access to its workspace and for assigning appropriate roles inside the organisation account.

Each user is responsible for keeping login credentials confidential and for all activity that happens under their account unless the activity results from our own security failure. You must tell us promptly if you believe an account has been compromised or used without permission.

We may suspend access, require password resets, or take other reasonable protective action where we believe an account, workspace, or integration is at security risk.

BidAxis currently offers self-serve monthly subscription plans aligned to the pricing shown in the product, including Solo Consultant, SME, and Agency tiers. The current monthly prices shown in the codebase are GBP 149, GBP 399, and GBP 799 respectively. Enterprise arrangements may be offered separately on bespoke terms or order forms.

Self-serve subscription checkout currently includes a 7-day free trial before paid billing begins. After the trial, the subscription converts to a paid monthly subscription unless it is cancelled before the trial ends.

Subscriptions renew automatically on a recurring monthly basis until cancelled. Billing, payment collection, and subscription state are handled through Stripe. The Customer authorises us and our payment processor to charge the selected payment method for recurring subscription fees, taxes, and any other agreed charges.

We may change pricing or plan structure in the future. If we make a change that affects an active subscription, we will give reasonable notice before the change applies to the next billing cycle unless a shorter period is required for tax, law, or urgent error correction.

Unless required otherwise by law or expressly agreed in writing, subscription fees are non-refundable. Cancellation stops future billing but does not usually entitle the Customer to a refund for the current billing period or any unused portion of that period.

You can cancel a subscription through the billing workflow made available in the Service or through any other method we make available for account owners. Unless we state otherwise at the point of cancellation, access continues until the end of the paid period already invoiced.

We may, at our discretion, choose to issue a refund, service credit, or billing adjustment in individual cases, but doing so once does not oblige us to do so again.

You must not use the Service to break the law, infringe anyone else's rights, upload malware, interfere with the integrity or security of the platform, probe for vulnerabilities without permission, scrape or exfiltrate other customers' data, or try to bypass account, subscription, or tenant-access controls.

You must not use the AI features to create unlawful content, deceptive submissions, spam, harassment, or content that you know is materially false or misleading. You remain responsible for what you upload, generate, review, export, and submit to buyers or other third parties.

We may investigate suspected misuse and may suspend or terminate access where we reasonably believe the Service is being used in breach of these Terms or in a way that creates legal, security, or operational risk.

As between the parties, the Customer retains ownership of the documents, tender materials, prompts, knowledge-base content, organisation data, and other content it uploads or submits to the Service ("Customer Content"). The Customer is responsible for making sure it has the rights needed to upload and use that content.

As between the parties, and to the extent permitted by law and any applicable third-party provider terms, the Customer also owns the final drafts, exports, and other work product generated for it from its Customer Content through the Service. That does not transfer ownership of the underlying platform, models, prompts, software, workflows, or other BidAxis technology.

We and our licensors own the Service itself, including the platform, code, design, databases, workflows, trademarks, branding, and all related intellectual property rights. These Terms give the Customer a limited, non-exclusive, non-transferable right to use the Service during the subscription term for its internal business purposes.

The Service may generate draft text, summaries, requirement mappings, review comments, compliance observations, and predictive outputs using AI models. Those outputs can be useful, but they can also be incomplete, biased, outdated, or wrong.

The Customer must review all AI-generated or AI-assisted output before relying on it, sharing it, or submitting it to a buyer. BidAxis is not a substitute for professional bid-writing judgment, legal review, procurement compliance review, or subject-matter expertise.

In particular, BidAxis does not guarantee tender eligibility, legal compliance, score improvement, shortlist status, contract award, or any forecasted win probability. Final decisions and final submissions remain the Customer's responsibility.

We aim to provide a reliable service, but we do not promise uninterrupted availability. The Service may be unavailable from time to time for maintenance, upgrades, incidents, third-party outages, or events outside our reasonable control.

We may improve, modify, replace, or discontinue features from time to time. Where a change materially reduces core paid functionality for an active subscription, we will try to give reasonable notice.

We may suspend access immediately where necessary to protect the security, integrity, or lawful operation of the Service, or where fees remain unpaid after reasonable notice and opportunity to cure, unless doing so would be inappropriate in the circumstances.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law. In particular, nothing excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to the previous paragraph, and to the fullest extent permitted by law, BidAxis's total aggregate liability arising out of or in connection with the Service or these Terms is capped at the total fees paid by the Customer to BidAxis in the 12 months immediately before the event giving rise to the claim.

Subject to applicable law, we are not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of anticipated savings, or loss or corruption of data, except to the extent such exclusion is prohibited by law.

Because the Service is decision-support software, we are also not responsible for losses caused by the Customer's failure to review AI-generated output, to validate tender requirements independently, or to exercise reasonable professional judgment before submission.

The Customer may stop using the Service and cancel its subscription at any time, subject to the billing and refund terms above.

We may terminate or suspend the agreement immediately if the Customer materially breaches these Terms, fails to pay amounts due, uses the Service unlawfully, creates security risk, or becomes insolvent, or if continuing to provide the Service would expose us or other customers to material legal or operational harm.

After termination or expiry, the Customer's right to access the Service ends except to the extent we make limited post-termination access available for export or transition. Clauses that by nature should continue after termination, including payment, liability, intellectual property, confidentiality, and dispute provisions, will continue to apply.

Before starting court proceedings, each party will try in good faith to resolve any dispute informally by giving written notice of the issue and allowing the other party a reasonable opportunity to respond and discuss a resolution.

If the dispute is not resolved informally within 30 days of that notice, either party may pursue the claim through the courts described in these Terms. Nothing in this section prevents either party from seeking urgent injunctive or other protective relief where that is reasonably necessary.

These Terms and any non-contractual disputes or claims arising out of or in connection with them are governed by the laws of England and Wales.

Subject to the dispute-resolution process above, the courts of England and Wales have exclusive jurisdiction unless applicable law requires otherwise.
